Terms and Conditions

Draft for review — not legally reviewed or finalised. This is a complete, template-based draft written to current UK consumer law (Consumer Rights Act 2015, Consumer Contracts Regulations 2013, UK GDPR) and standard e-commerce terms conventions. Every [PLACEHOLDER] marks a business-specific fact that needs a real answer before this page goes live — company details, contact information, actual costs and processes. Please have this checked against your actual business setup (and by a solicitor if you want it formally reviewed) before publishing.

1. Who we are

This website, ShellyUK (“we”, “us”, “our”), is operated by Greg Kilpatrick and Lewis Harrison-Wood, trading as ShellyUK. ShellyUK is not a limited company — it’s an ordinary business partnership, so there’s no Companies House registration number. Our trading address is 4 The Mews, Hindley, Wigan, WN2 3EZ. ShellyUK is not currently VAT registered. You can contact us at hello@shellyuk.com or via our Contact page.

ShellyUK is an independent retailer of genuine Shelly-branded smart home products. [PLACEHOLDER: confirm relationship with Allterco Robotics EAD/Shelly — authorised reseller, independent trade buyer, etc.] “Shelly” and the Shelly logo are trademarks of their respective owner and are used on this site only to identify and describe the genuine products we sell. We are not the manufacturer of Shelly products, and Shelly’s own warranty and support terms apply to the devices themselves in addition to your rights against us as the seller.

2. These terms

These terms and conditions (“Terms”) apply to every order placed through this website. By placing an order, you agree to be bound by these Terms and by our Privacy Policy. Please read them carefully before ordering. Nothing in these Terms affects your statutory rights as a consumer.

You must be at least 18 years old and legally capable of entering into a binding contract to place an order on this site.

3. Products and product information

We make reasonable efforts to ensure that product descriptions, images, specifications and prices on this site are accurate and up to date. However:

  • Product images are for illustrative purposes and may vary slightly from the actual item (for example, packaging design or minor cosmetic revisions between production batches).
  • Specifications are provided by the manufacturer and may change without notice; we’re not liable for manufacturer changes to a product’s specification after your order.
  • If we discover a genuine error in a price or description after you’ve ordered, we’ll contact you before processing the order and give you the choice to continue at the corrected price/description or cancel for a full refund.

4. Placing an order and how the contract is formed

Adding items to your basket and completing checkout is an offer by you to buy the products in your order. No contract exists between us until we send you an order confirmation email accepting your order. We may decline or cancel an order at any point before dispatch — for example if a product is unexpectedly out of stock, if we suspect fraudulent activity, or if there’s a pricing or listing error — in which case you will not be charged, or will be refunded in full if payment has already been taken.

5. Price and payment

All prices on this site are shown in pounds sterling (GBP) and include UK VAT at the applicable rate, unless stated otherwise. Delivery costs are shown separately at checkout before you complete your order. Payment is taken at checkout, via card payment (processed by Square) or Cash on Delivery.

6. Delivery

See our Delivery & Returns page for delivery areas, costs and estimated timescales. Risk in the products (responsibility for loss or damage) passes to you when the products are delivered to the address you provided. Ownership of the products passes to you once we’ve received payment in full.

7. Your right to cancel (14-day cooling-off period)

As a UK consumer buying at a distance, you have a legal right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel your order within 14 days of receiving your goods, for any reason and without needing to justify it. This is separate from, and in addition to, your rights over faulty goods described in Section 8. Full detail on how to exercise this right, and how refunds are processed, is on our Delivery & Returns page.

8. Faulty, damaged or misdescribed goods

If a product you receive is faulty, damaged in transit, or doesn’t match its description, you have rights under the Consumer Rights Act 2015 which are not limited to the 14-day period above. Depending on how long you’ve had the item, you may be entitled to a repair, replacement, price reduction, or refund. Contact us at hello@shellyuk.com with your order number and, where relevant, photos of the fault or damage, and we’ll resolve it at no cost to you.

9. Warranty

Shelly products carry the manufacturer’s own warranty in addition to your statutory rights described above. Shelly’s standard warranty is 2 years from the date of purchase. Warranty claims are handled directly by Shelly via their official support community: Shelly Support Group (Facebook). This warranty does not affect, and is not a substitute for, your Consumer Rights Act 2015 rights.

10. Our liability to you

We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable. We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. We supply products for domestic and private use; we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity arising from use of a product for business purposes.

11. Product safety

Shelly devices are electronic products, and some models involve mains-voltage wiring. Installation of mains-connected devices should only be carried out by a competent person, and any notifiable electrical work must comply with UK Building Regulations Part P. Always follow the manufacturer’s installation instructions. We are a supply-only retailer and do not provide installation services or electrical advice.

12. Events outside our control

We are not liable for any delay or failure to perform our obligations under these Terms caused by events outside our reasonable control, including (but not limited to) failures by our delivery couriers, extreme weather, industrial action, or other circumstances beyond our control.

13. Complaints

If you’re unhappy with your order or with our service, please contact us at hello@shellyuk.com in the first instance and we’ll do our best to resolve it. [PLACEHOLDER: add details of any alternative dispute resolution (ADR) scheme you’re a member of, if applicable — not required by law for most retailers but worth confirming.]

14. Other important terms

Assignment. We may transfer our rights and obligations under these Terms to another organisation, but this won’t affect your rights or our obligations under these Terms. You may not transfer your rights or obligations under these Terms to someone else without our written agreement.

No third-party rights. These Terms are between you and us. No other person has any right to enforce any of these Terms.

Waiver. If we don’t insist immediately that you do anything you’re required to do under these Terms, or if we delay enforcing our rights, that won’t mean you don’t have to do those things, and it won’t prevent us from enforcing our rights later.

Severability. If any part of these Terms is found to be unlawful, invalid or unenforceable, that part will be removed and the rest of the Terms will remain in full effect.

Entire agreement. These Terms, together with our Privacy Policy and Delivery & Returns page, are the entire agreement between us in relation to your order.

15. Governing law and jurisdiction

These Terms are governed by the law of England and Wales. Any dispute will be subject to the non-exclusive jurisdiction of the courts of England and Wales, unless you live in Scotland or Northern Ireland, in which case the law and courts of that part of the UK will apply instead. This does not affect your right, as a consumer, to bring proceedings in your local courts.

16. Changes to these terms

We may update these Terms from time to time. The version that applies to your order is the one published on this page at the time you placed it. We’ll post any material changes here with an updated date.
